Do I actually need a limited company, or is sole trader the right structure for me?
That depends on your turnover, the nature of your work, and your longer-term plans. In some cases, a limited company offers meaningful tax efficiency once profits exceed a certain level. In others, the administrative overhead outweighs the benefit at the early stage. We go through this during the discovery call so you have a clear answer before committing to either structure.
What does company formation cost, and what is included?
Pricing is fixed and quoted before any work begins. The formation fee covers incorporation at Companies House, HMRC registrations, registered office at our Lymington address, and the initial compliance setup. Ongoing accounting services — bookkeeping, payroll, VAT, year-end accounts — are quoted separately on a monthly retainer basis. There are no hourly rates and no unexpected additions.
I have already formed the company myself. Can you pick it up from here?
Yes. This is a common situation and it does not cause any particular difficulty. We review what was filed at Companies House, confirm the HMRC registrations are in order, and identify anything that may need correcting or setting up. If the books need catching up, that is scoped and costed separately and clearly before we start.
Is there a long-term contract?
No. Ongoing work is provided on a monthly retainer with a modest notice period. If the arrangement is not working, you give notice and receive your records and login credentials in good order. There is no exit fee and no minimum term beyond the initial notice period.
What share structure should I use when forming the company?
For most owner-managed companies, a simple single class of ordinary shares works well at the outset. However, if you have a co-founder, a spouse, or plan to bring in investors at some point, the share structure is worth thinking through more carefully before incorporation — it is considerably easier to get right at formation than to change later. We cover this during the discovery call.
How soon after forming the company will I need to file my first accounts?
Your first accounts are due at Companies House nine months after your accounting reference date, which is initially set to the last day of the month in which your company was incorporated. Corporation tax is due nine months and one day after the year end. We set these deadlines up from the point of formation so nothing catches you by surprise in year one.
