Common questions about dormant company accounts

My company has done nothing this year — do I really still need to file accounts?+

Yes. Companies House requires dormant accounts to be filed every year regardless of trading activity, and a confirmation statement is also due annually. HMRC may require a CT600 nil return depending on your circumstances. Ignoring these obligations because the company is inactive does not prevent penalties — it just delays them.

What does it cost to have dormant accounts prepared and filed?+

We charge a fixed annual fee that covers preparation of the dormant accounts, the Companies House filing, and the confirmation statement. If a CT600 nil return is also needed, that is included in the same quote. If there are overdue filings from prior years, the catch-up cost is quoted separately before any work starts.

My company has missed a filing deadline — can you still help?+

Yes. Late filings are more common than most directors realise, and Companies House does accept them after the deadline, though penalties may already have accrued. We will establish exactly what is outstanding, file everything in the correct order, and advise on whether any penalty can be appealed. It is manageable.

Is there a long-term contract if I just need dormant accounts filed once?+

There is no lock-in. Many clients come to us for a single year’s dormant accounts and then decide to stay because the process was straightforward. If you only need one set of accounts filed, that is fine. You are billed for the work done, and there is nothing further owed.

What happens if my company starts trading again mid-year?+

The company ceases to be dormant from the point of the first significant accounting transaction, and different filing obligations apply from that date. We would advise you at the point of reactivation on bookkeeping setup, VAT registration thresholds, payroll if relevant, and the year-end accounts approach for a period covering both dormant and trading activity.

Can I keep the company dormant indefinitely, or is there a point where it makes more sense to close it?+

There is no time limit on keeping a company dormant, and some directors maintain dormant companies for years as holding vehicles or to protect a name. That said, there is an annual compliance cost, and if the company is unlikely to be used, striking it off may be the simpler option. We can walk through both routes and the tax and administrative implications of each.
